Status of Investment Advisory Programs Under the Investment Company Act of 1940

The Securities and Exchange Commission proposes revised rule 3a-4 to provide a nonexclusive safe harbor from the definition of investment company for certain investment advisory programs that comply with specific conditions. Programs organized and operated in accordance with these conditions would not be required to register under the Investment Company Act of 1940 or comply with its substantive requirements. The Commission also proposes Form N-3a4, which sponsors of such programs must file to rely on the rule, and requests comments on the application of the Investment Advisers Act of 1940 to these programs.
