Exemptions for Security-Based Swaps Issued by Certain Clearing Agencies

The Securities and Exchange Commission adopts Rule 239 under the Securities Act of 1933, Rules 12a-10 and an amendment to Rule 12h-1 under the Securities Exchange Act of 1934, and Rule 4d-11 under the Trust Indenture Act of 1939. These rules exempt transactions by clearing agencies in security-based swaps from all provisions of the Securities Act, other than Section 17(a) anti-fraud provisions, as well as from Exchange Act registration requirements and Trust Indenture Act provisions. The exemptions apply provided that certain conditions are met by the clearing agencies issuing the security-based swaps. The final rules become effective on April 16, 2012.
