Certain Research and Development Companies

The Securities and Exchange Commission proposes a new safe harbor rule, 3a-8, under the Investment Company Act of 1940 to exempt certain bona fide research and development companies from the definition of investment company. Eligible companies must demonstrate that research and development expenses constitute a substantial percentage of total expenses and at least half of investment revenues for the last four fiscal quarters, while keeping investment-related expenses below five percent of total expenses. The rule requires that investments be made primarily to conserve capital and liquidity for use in the company's primary non-investment business. This proposed rule is open for public comment until January 15, 2003.
