Commission Guidance Regarding Definitions of Mortgage Related Security and Small Business Related Security

The Securities and Exchange Commission provides a transitional interpretation of the definitions of 'mortgage related security' and 'small business related security' under the Securities Exchange Act of 1934, effective July 20, 2012, until final rules establishing new creditworthiness standards become effective. Under this guidance, a mortgage related security is defined as one rated in one of the two highest rating categories by at least one nationally recognized statistical rating organization, and a small business related security is defined as one rated in one of the four highest rating categories by at least one nationally recognized statistical rating organization. The Commission is also soliciting comments on potential standards of creditworthiness to replace the use of credit ratings, with comments due by August 22, 2012.
