Definition of Eligible Portfolio Company Under the Investment Company Act of 1940

The Securities and Exchange Commission adopts Rule 2a-46 to define an eligible portfolio company as any domestic operating company that does not have a class of securities listed on a national securities exchange, thereby including private companies and those quoted on the OTCBB or Pink Sheets. The Commission also adopts Rule 55a-1, which conditionally permits business development companies to include follow-on investments in their 70 percent basket for companies that met the definition at the time of initial investment but no longer qualify. These rules become effective on November 30, 2006.
