Acceleration of Periodic Report Filing Dates and Disclosure Concerning Website Access to Reports

The Securities and Exchange Commission proposes to shorten filing deadlines for quarterly reports from 45 to 30 calendar days and annual reports from 90 to 60 calendar days for domestic reporting companies with a public float of at least $75 million. These accelerated deadlines apply to companies that have been subject to Exchange Act reporting requirements for at least 12 calendar months and have previously filed at least one annual report. The proposal also requires these companies to disclose in their annual reports whether they provide free, timely access to Forms 10-K, 10-Q, and 8-K on their Internet websites, including the website address if available.
