Implementation of Standards of Professional Conduct for Attorneys

The Securities and Exchange Commission proposes adding new Part 205 to Title 17 of the Code of Federal Regulations to establish minimum standards of professional conduct for attorneys appearing and practicing before the Commission on behalf of issuers. The proposed rule requires attorneys to report evidence of material violations of securities laws or breaches of fiduciary duty to the chief legal counsel or chief executive officer, and if no appropriate response is received, to report the evidence to the audit committee or the full board of directors. Comments on this proposed rule are solicited and must be received on or before December 18, 2002.
