Investment Company Mergers

The Securities and Exchange Commission proposes amendments to rule 17a-8 under the Investment Company Act of 1940 to expand the types of business combinations exempted from prior Commission approval. The proposed changes would make the rule available for mergers between registered investment companies regardless of the source of affiliation and for mergers between registered investment companies and certain unregistered entities, such as affiliated bank common trust funds. To qualify for relief, funds must comply with new conditions, including board determinations that the merger is in the best interests of the fund and does not dilute shareholder interests, and shareholder approval by the funds not surviving the merger. Comments on the proposal must be received on or before January 18, 2002.
