Proposed Rule: Form 8-K Disclosure of Certain Management Transactions

The Securities and Exchange Commission proposes amendments to Form 8-K to require companies with equity securities registered under Section 12 of the Exchange Act to report directors' and executive officers' transactions in company equity securities, Rule 10b5-1 arrangements, and loans made or guaranteed by the company. Reports for transactions or loans with an aggregate value of $100,000 or more would be due within two business days, while smaller transactions, grants, and Rule 10b5-1 arrangements are generally due by the close of business on the second business day of the following week. Transactions or loans with an aggregate value not exceeding $10,000 may be deferred until the cumulative unreported value for the same individual exceeds $10,000.
