Purchase of Certain Debt Securities by Business and Industrial Development Companies Relying on an Investment Company Act Exemption

The Securities and Exchange Commission adopts new rule 6a-5 under the Investment Company Act to establish a credit-worthiness standard replacing a statutory reference to credit ratings removed by the Dodd-Frank Act. The rule requires Business and Industrial Development Companies (BIDCOs) to determine, at the time of purchase, that debt securities are subject to no greater than moderate credit risk and are sufficiently liquid to be sold at or near carrying value within a reasonably short period. This standard applies to debt securities purchased by BIDCOs relying on the exemption in section 6(a)(5) and limits their investments in registered open-end funds to those investing at least 65 percent of assets in such qualifying securities. The rule becomes effective on December 24, 2012.
