Reporting Threshold for Institutional Investment Managers

The Securities and Exchange Commission proposes to raise the Form 13F reporting threshold for institutional investment managers from $100 million to $3.5 billion to reflect changes in the U.S. equities market since 1975. The proposal also eliminates the omission threshold for individual securities and requires managers to provide additional identifying information such as CRD and SEC filing numbers. Furthermore, the Commission seeks to modernize data reporting structures and amend instructions for confidential treatment requests in light of recent Supreme Court decisions.
