SEC Division of Corporation Finance no-action letter: Allstate Life Insurance Company

The Division will not recommend enforcement action if Allstate Life Insurance Company incorporates its Form 10 registration statement into a Form S-3 registration statement for Market Value Adjustment Account interests. Additionally, so long as The Allstate Corporation owns all of Allstate Life's outstanding common stock, the Division will not recommend enforcement action if Allstate Life, its officers, directors, and shareholders do not file proxy statements, Section 16(a) reports, Section 13(d) or 13(g) reports, or comply with Section 13(e) filing requirements. These exemptions apply specifically to Allstate Life's common stock and do not extend to other classes of securities registered under Section 12 of the Exchange Act.
