SEC Division of Investment Management staff letter: Franklin Templeton Investments

The staff of the Division of Investment Management will not recommend enforcement action to the Commission against registered open-end and closed-end investment companies within the Franklin Templeton family if they participate in the Term-Asset Backed Securities Loan Facility without treating the borrowings as senior securities representing indebtedness for purposes of compliance with Sections 18(a)(1), 18(c), and 18(f)(1) of the Investment Company Act of 1940. The staff also will not recommend enforcement action under Section 17(f) regarding the unique custody arrangements necessitated by the TALF program. This position is based on representations that the Fund will segregate liquid assets equal to the outstanding principal and interest on the TALF loan, ensuring an effective asset coverage of at least 200 percent, and that the TALF loans are non-recourse and collateralized solely by Eligible Securities.
