SEC Division of Investment Management staff letter: ING Bank, N.V.

The SEC Division of Investment Management will not recommend enforcement action against ING Bank, N.V. or its commercial paper conduits under Section 7 of the Investment Company Act of 1940 if the conduits do not register as investment companies. This relief applies provided the conduits offer and sell short-term paper in the United States under Section 4(2) of the Securities Act of 1933 while simultaneously offering and selling such paper outside the United States in compliance with Regulation S. The conduits must issue only short-term paper with maturities not exceeding nine months, or limit beneficial owners of other securities to one hundred, and provide offering memoranda disclosing that the conduits are not regulated under the 1940 Act.
