SEC Division of Investment Management staff letter: Oppenheimer Landmrk Properties

The Division of Investment Management will not recommend enforcement action under Section 7(b) of the Investment Company Act of 1940 if Oppenheimer Landmark Properties creates a Liquidating Trust solely to liquidate assets, satisfy liabilities, and distribute remaining assets without registering the trust. The Liquidating Trust must comply with Section 13(a) reporting obligations by filing Form 8-K and 10-K, including distributions, claims, fees, and material events, and must terminate within three years, or a maximum of 4.5 years if extended. The Division of Corporation Finance will not recommend enforcement action regarding registration under the Securities Act of 1933, the Securities Exchange Act of 1934, or the Trust Indenture Act of 1939, provided the beneficial interests are non-transferable and the trust activities are limited to orderly liquidation.
