SEC Division of Investment Management staff letter: UAM Funds Inc.

The Division of Investment Management will not recommend enforcement action under the Investment Company Act of 1940 if eSecLending, LLC and PBHG Fund Services rely on an existing exemptive order to perform securities lending activities previously conducted by UAM Trust Company, UAM Global Securities Lending, Inc., and UAM Fund Services. This relief applies provided the New Service Providers comply with the terms and conditions of the Existing Order, maintain substantially similar services and fee rates, and secure initial and annual approval from a majority of each Participating Fund's board of directors, including a majority of disinterested directors. The Division's response addresses enforcement action only and does not constitute a legal conclusion on the questions presented.
