SEC Division of Trading and Markets no-action letter: iShares Diversified Alternatives Trust Actively-Managed Commodity-Based Investment Vehicle

The Division of Trading and Markets will not recommend enforcement action against the iShares Diversified Alternatives Trust, NYSE Arca Equities, Inc., or persons engaging in transactions in the Trust's Shares for violations of Rules 101 and 102 of Regulation M and Section 11(d)(1) of the Securities Exchange Act of 1934, as amended, and Rule 11d1-2 thereunder. This no-action relief permits distribution participants to bid for or purchase Shares during a distribution and allows the Trust to redeem Shares in basket-sized aggregations of 100,000 Shares without violating anti-manipulation provisions, provided the secondary market price does not vary substantially from the net asset value. Additionally, broker-dealers may treat the Shares as shares of a Qualifying ETF for purposes of the relief from Section 11(d)(1) and Rule 11d1-2, allowing Authorized Participants to extend credit on the Shares under the conditions of the Class Relief Letter. The Division states it will no longer respond to requests for relief from these rules for new actively-managed commodity-based investment vehicles unless they present novel or unusual issues.
