Small Business and Small Organization Definitions for Investment Companies and Investment Advisers for Purposes of the Regulatory Flexibility Act
The Securities and Exchange Commission proposes to amend rules under the Investment Company Act and Investment Advisers Act to increase the asset-based thresholds defining small entities for Regulatory Flexibility Act purposes. The proposal also establishes a mechanism for periodic inflation adjustments to these thresholds and updates Form ADV requirements to align with the revised definitions. Comments on this proposed rule are due by March 13, 2026.
