Staff Advisory Concerning Commodity Trading Advisors and Swaps

The Dodd-Frank Act expanded the statutory definition of a commodity trading advisor to include persons advising on swaps, requiring certain previously exempt entities to register with the Commission following the rescission of Regulation 4.13(a)(4) and amendments to Regulation 4.5. Registered CTAs must disclose principal risk factors and material information to clients, including swap risks provided by counterparties under Regulation 23.431, and must correct any materially inaccurate or incomplete disclosure documents. Additionally, swap dealers and major swap participants must ensure Special Entities are advised by independent representatives who meet specific qualifications and duties under CEA Section 4s(h)(5) and Regulation 23.450.
