Streamlining Disclosure Requirements Relating to Significant Business Acquisitions

The Securities and Exchange Commission amends Rules 3-05 of Regulation S-X and Item 310 of Regulation S-B to raise the significance thresholds for requiring audited financial statements of acquired businesses from 10%, 20%, and 40% to 20%, 40%, and 50%, respectively. Registrants are exempt from including financial statements for pending or recently consummated acquisitions in Securities Act registration statements if the acquisition is below the 50% significance level, provided the statements are filed on Form 8-K within 75 days of consummation. The amendments also require Form 10-Q, 10-QSB, 10-K, and 10-KSB filers to disclose information regarding unregistered equity sales under Item 701 of Regulation S-K or S-B, excluding sales made in reliance on Regulation S.
