Treatment of Certain Collateralized Debt Obligations Backed Primarily by Trust Preferred Securities With Regard to Prohibitions and Restrictions on Certain Interests in, and Relationships With, Hedge Funds and Private Equity Funds

The OCC, Board, FDIC, CFTC, and SEC adopt a common interim final rule permitting banking entities to retain investments in, or act as sponsors of, certain pooled investment vehicles backed primarily by trust preferred securities (TruPS). The exemption applies to issuers established before May 19, 2010, that invested offering proceeds primarily in Qualifying TruPS Collateral, defined as securities issued before May 19, 2010, by community banking organizations with consolidated assets under $15 billion or mutual holding companies. Banking entities must have acquired their interest on or before December 10, 2013, unless acquired through a merger or acquisition. The rule is effective April 1, 2014, with comments due by March 3, 2014.
