Use of Electronic Media for Delivery Purposes

The Securities and Exchange Commission provides interpretive guidance stating that electronic media may satisfy delivery obligations under the Securities Act of 1933, the Securities Exchange Act of 1934, and the Investment Company Act of 1940. Issuers and third parties may deliver documents such as prospectuses, annual reports, and proxy statements electronically, provided the distribution results in the delivery of substantially equivalent information to that delivered in paper form. The guidance explicitly prohibits the electronic delivery of confirmations required by Rule 10b-10 unless specifically permitted, and requires that electronic delivery methods not be unduly burdensome to access. This interpretation is effective October 6, 1995, and invites comments on the discussed issues by November 27, 1995.
