Cross-Border Security-Based Swap Activities; Re-Proposal of Regulation SBSR and Certain Rules and Forms Relating to the Registration of Security-Based Swap Dealers and Major Security-Based Swap Participants

The Securities and Exchange Commission proposes rules and interpretive guidance to determine how Title VII of the Dodd-Frank Act applies to cross-border security-based swap activities. The proposal re-proposes Regulation SBSR and registration requirements for security-based swap dealers and major participants while introducing substituted compliance mechanisms and exceptions for affiliated groups. Additionally, the Commission outlines policies for information sharing among regulators and defines the scope of its enforcement authority under Section 929P of the Dodd-Frank Act.
